These Terms of Use ("Terms") govern your access to and use of the DashCam MVP application, website, and related services (collectively, the "Service") provided by ShinyNew Technologies LLC ("ShinyNew," "we," "our," or "us"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, please discontinue use immediately.

1. Acceptance of Terms

By downloading, installing, or using DashCam MVP, you confirm that you are at least 18 years of age (or the age of majority in your jurisdiction), have read these Terms in their entirety, and agree to be legally bound by them. ShinyNew reserves the right to update these Terms at any time. Continued use of the Service after notice of changes constitutes acceptance of the revised Terms.

2. Description of Service

DashCam MVP is a mobile and web-based dashcam management platform that allows users to record, store, organize, and share vehicle footage. Features may include live streaming, cloud backup, incident detection, and related utilities as described on our website.

3. Acceptable Use

You agree to use the Service only for lawful purposes and in a manner that does not infringe the rights of others or restrict or inhibit their use of the Service. Acceptable uses include:

• Recording footage of your own vehicle's surroundings for personal safety and documentation.
• Storing and managing your dashcam recordings through the provided platform.
• Sharing footage with law enforcement, insurance providers, or other authorized parties where legally appropriate.
• Using the Service in compliance with all applicable local, state, and federal laws.

4. Prohibited Behavior

You expressly agree not to:

• Use the Service to record, store, or distribute footage in violation of any individual's right to privacy.
• Operate the application in a manner that distracts you while driving a motor vehicle.
• Upload, transmit, or share content that is defamatory, obscene, harassing, threatening, or otherwise unlawful.
• Attempt to reverse engineer, decompile, or disassemble any part of the Service.
• Use automated bots, scrapers, or data mining tools against the Service without prior written consent from ShinyNew.
• Impersonate any person, entity, or ShinyNew representative.
• Attempt to gain unauthorized access to the Service, its servers, or any connected networks.
• Use the Service for any commercial surveillance, stalking, or harassment purposes.
• Violate any applicable laws or regulations, including those governing recording consent in your jurisdiction.

5. Intellectual Property

All content, software, trademarks, logos, graphics, and other materials that are part of the Service are the exclusive property of ShinyNew Technologies LLC or its licensors and are protected by applicable United States and international intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for personal, non-commercial purposes. No rights are transferred to you beyond this limited license. You may not reproduce, distribute, modify, create derivative works of, publicly display, or exploit any portion of the Service without our express prior written consent.

You retain ownership of footage and content you record and upload ("User Content"). By uploading User Content to the Service, you grant ShinyNew a limited, worldwide, royalty-free license to host, store, and transmit your User Content solely to provide and improve the Service. We do not claim ownership of your User Content.

6. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

SHINYNEW TECHNOLOGIES LLC DOES NOT WARRANT THAT: (A) THE SERVICE WILL FUNCTION UNINTERRUPTED, SECURE, OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION; (B) ANY ERRORS OR DEFECTS WILL BE CORRECTED; (C) THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR (D) THE RESULTS OF USING THE SERVICE WILL MEET YOUR REQUIREMENTS.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SHINYNEW TECHNOLOGIES LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES — ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT SHINYNEW HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

IN JURISDICTIONS THAT DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SHINYNEW'S LIABILITY SHALL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW. IN ALL OTHER CASES, SHINYNEW'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO SHINYNEW IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) FIFTY DOLLARS ($50.00 USD).

8. Indemnification

You agree to defend, indemnify, and hold harmless ShinyNew Technologies LLC and its officers, directors, employees, contractors, agents, licensors, and successors from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use or misuse of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any third-party right, including any intellectual property, privacy, or proprietary right.

9. Third-Party Links and Services

The Service may contain links to third-party websites or services that are not owned or controlled by ShinyNew. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party sites or services. We encourage you to review the terms and privacy policies of any third-party services you visit.

10. Termination

ShinyNew reserves the right to suspend or terminate your access to the Service at any time, with or without notice and without liability, for any reason, including if we reasonably believe you have violated these Terms. Upon termination, your right to use the Service will immediately cease. All provisions of these Terms that by their nature should survive termination — including ownership provisions, warranty disclaimers, indemnity, and limitations of liability — shall survive.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Michigan, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Michigan, and you hereby irrevocably consent to the personal jurisdiction and venue therein. You waive any objection to the laying of venue of any such proceeding in Michigan.

For any disputes, you agree to first attempt to resolve the matter informally by contacting ShinyNew at the address below and giving us at least thirty (30) days to respond before initiating formal legal proceedings.

12. Changes to These Terms

We may revise these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page with a new "Last Updated" date. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.
